These Terms of Service (“Terms”) govern the use of the website located at www.roandcowholesale.co.uk (the “Site”) and the sale of products (“Products”) by Ro & Co Wholesale Ltd (“we”, “us”, “our”) to business customers only (“you”, “Buyer”).

By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, you must not use the Site or purchase Products from us.

1. Business Customers Only

This Site operates strictly on a business-to-business (B2B) basis.

By using this Site, you confirm that you are:

a business entity (including a limited company, partnership, or sole trader); and
authorised to enter into legally binding contracts on behalf of that business.

We reserve the right to refuse service, cancel accounts, or decline orders at our discretion.

2. Account Registration

You may be required to create an account to place orders or access certain features.

You agree to:

provide accurate, current, and complete information;
keep your login details secure and confidential; and
notify us immediately of any unauthorised use of your account.

We are not responsible for losses arising from unauthorised account use.

3. Products and Pricing

Availability
All Products are subject to availability. We do not guarantee that items will be in stock at the time of order.

Pricing
All prices are wholesale prices and shown in GBP (£).
Prices are inclusive of VAT unless otherwise stated.

Descriptions
We make reasonable efforts to ensure Product descriptions and images are accurate, but errors may occur. Product specifications may be changed without notice.

4. Orders and Payment

Placing Orders
Placing an order constitutes an offer to purchase Products subject to these Terms. All orders are subject to acceptance by us.

Payment
Payment is due at the time of order unless otherwise agreed in writing. Accepted payment methods include credit/debit card and bank transfer.

Late Payment
Where credit terms are agreed, overdue amounts may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, plus reasonable recovery costs.

Taxes & Duties
Prices include VAT unless stated. For international orders, you are responsible for any customs duties, import taxes, or local charges.

5. Shipping and Delivery

Shipping costs are calculated at checkout and added to your order total.

Delivery times are estimates only and not guaranteed. We are not liable for delays caused by third-party carriers, customs, strikes, or events outside our control.

Risk in the Products passes to you once the order is handed to the carrier.

6. Returns, Refunds & Damages

Faulty, Damaged, or Incorrect Products

You must inspect your order immediately upon delivery.

Any issues must be reported to us within 5 days of receiving your order, in writing, with full details.

To investigate a claim, we require:

a photo of the outer packaging clearly showing the delivery label;
photos of the damaged or faulty Products; and
a photo of the paper invoice included with the order.

Without this evidence, we are unable to raise an investigation or offer a resolution.

Refunds and Returns

As a B2B wholesale supplier:

we only offer refunds or replacements for Products confirmed to be faulty or damaged on delivery;
we do not accept order cancellations once placed; and
we do not accept returns or refunds for non-defective Products.

No refund, credit, or replacement will be provided if Products have been worn, printed, embroidered, altered, or otherwise processed.

We do not reimburse decoration costs, processing costs, or time.

Incorrect Items

If an incorrect item is supplied, a replacement will be issued once the incorrect item has been returned and scanned by the courier. A returns label will be provided.

Issues reported outside the 5-day reporting period cannot be resolved.

7. Intellectual Property

All content on the Site, including text, images, logos, and trademarks, is owned by Ro & Co Wholesale Ltd or its licensors and is protected by UK and international intellectual property laws.

You may not copy, reproduce, or use Site content without prior written permission.

8. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential losses, including loss of profit, revenue, or business.

Our total liability in connection with any order shall not exceed the amount paid for the Products giving rise to the claim.

9. Indemnity

You agree to indemnify and hold harmless Ro & Co Wholesale Ltd from any claims, losses, or expenses arising from your breach of these Terms or misuse of the Site.

10. Data Protection

We process personal data in accordance with the Data Protection Act 2018 and UK GDPR. Use of the Site is subject to our Privacy Policy.

11. Force Majeure

Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including acts of God, pandemics, government action, labour disputes, or Brexit-related disruptions.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction.

13. Changes to These Terms

We may update these Terms at any time. Changes take effect when posted on the Site. Continued use of the Site constitutes acceptance of the updated Terms.

15. General

These Terms constitute the entire agreement between the parties.
If any provision is unenforceable, the remainder shall remain in effect.
Failure to enforce any right does not constitute a waiver.
